Definition of Bylaws

These Bylaws constitute a code of rules adopted by Jeep Enthusiasts of Eastern PA for the regulation and management of its affairs.

Section 1: Purpose

A. The general purpose of this club, and hereinafter called The Club, shall be to provide a social organization for all those interested in Jeep brand vehicles. To encourage interest in said vehicles to the general public and bringing together all those with similar interests. To encourage family participation in such sport. To promote friendship and support organization functions held by The Club, as well as others who have such interest.

B. Our main goal is to share a passion for Jeeps with other members in a constructive & healthy way. As well as “do good things” by raising funds or collecting items for charitable purposes. Such funds & collections shall be raised by, but not limited to, events held by The Club.

Section 2: Membership

A. Membership is open to all individuals 18 years of age and older that are interested in promoting the purposes of this club.

B. Membership Classification is to read as follows:

Full Member – Members are of legal age (18) that have applied for an official membership, purchased (at minimum) one item of club merchandise, filled out (in person) the official membership form, have been accepted by the club, and have been issued a member number.

Family Member – Spouse or Significant Other of a Full member and all children under the age of 18 that reside in the same household of said member.

C. The membership year shall begin on January 1st of each year. Currently there are no member dues. Full members must own at least one Jeep brand vehicle. Members are required to purchase (at minimum) one item of club merchandise, and are encouraged (but not required) to purchase items for family members. Club merchandise must be purchased before you can become an official club member. Members must attend at least one function held by The Club a year. Functions are, but not limited to, club hosted events, meetings, and other events attended as a club. Members who have not attended a function after a year of membership will be contacted, if no response, the official membership will be dropped. Any member, who is dropped for non-participation of functions and wishes to be re-instated, shall contact us, attend a club function and then will be re-instated.

D. Membership is open throughout the year, and anyone can join anytime by purchasing (at minimum) one item of club merchandise and filling out (in person) the official membership form.

Section 3: Conduct

A. During Club activities and other events, members shall:

A. Conduct themselves in a manner that promotes cooperation among members.

B. Respect each other’s opinions during meetings and allow each member the opportunity to present his/her views.

C. Refrain from making personal attacks and leave personal disputes outside of The Club’s activities.

D. Conduct themselves in a manner which promotes a favorable public opinion of The Club and its activities/events.

E. Not make commitments on behalf of The Club without the vote of approval of the Executive Board.

Section 4: MEMBERSHIP RESPONSIBILITY:

A. As a member of The Club, you will promote The Club by helping with the promotion of events via social media, flyers, wearing club apparel, & talking to owners of Jeeps to promote The Club and what it is trying to accomplish.

B. Members must operate vehicles in such a manner that it will not cause embarrassment to The Club, its officers, and members. If such a case arises, the offending member will be removed from The Club.

C. All Club members who drive while involved in Club functions or are traveling with said Club going to or from a Club function, shall abide by the laws of the State of Pennsylvania, or any other State when representing the club.

D. All Club members release The Club and location of events from any liability while involved in Club functions or are traveling with said Club going to or from a Club function.

E. In order for our events to be successful, members are asked to help as much as possible during Club events.

F. Any club member while driving and representing the club shall have a valid operator's license.

G. Members are highly encouraged to buy club merchandise such as, but not limited to; Club apparel such as T-shirts, stickers, banners, etc... to help support The Club and its interests.

Section 5: MEMBERSHIP TYPE VEHICLES:

In order to facilitate the general purpose, all Jeep brand vehicles, regardless of year and model, are eligible for membership. Vehicles may be altered, built, or changed in such a way to create interest by non-members; or they may be stock, non-altered.

Section 6: Executive Board (Officers)

The officers of The Club shall be President, Vice-President, Secretary, and Treasurer. These officer positions are re-elected each year at the March annual meeting of members. All officers shall be elected by a majority of the members present at any annual meeting or special meeting called for that purpose. Anyone wanting to hold office of said club may do so by being elected by its members as a whole, during the yearly election of club officers, and must have been a member of the club for one year prior to holding any office. If a member is unable to complete his/her term of office for any reason, a member may be appointed to fill the remainder of the term of office by the Executive Board, called in a special meeting. Offices must be held for one (1) year or until their successors are elected and qualified.

A. President - Shall have general supervision, direction, and control of the business and affairs of The Club. The President shall sign all contracts. The President shall appoint any committee thought necessary for the good and welfare of The Club. The President shall only make commitments, sign only those official documents, and only those resolutions as authorized by the Executive Board. The President will preside over all meetings called for and will act as an ambassador to any functions or activities held by the club or any other club requesting attendance. The President will seek ways to help build membership, create ideas, and help promote and maintain interest for and by its members. The President shall meet at least once a quarter with the Executive Board. The President shall also be responsible to plan and oversee the budget of the club funds for the next year.

B. Vice-President - Shall perform all duties of the President in the President’s absence, and when so acting, shall have all the powers and restrictions of the President. The Vice-President will preside over all meetings called for if the President is unable to attend. The Vice-President will also act as ambassador to any functions. The Vice President will work with the Secretary and Treasurer in keeping those records that are necessary. The Vice-President will fill in for other absent officers when required.

C. Secretary - Shall keep an accurate record of the proceedings of all regular, special, and Executive Board meetings. The Secretary shall keep an accurate roll of Members and shall keep the President aware of any and all correspondence that should be brought forth to the Executive Board (membership applications, events, etc.).

D. Treasurer - Shall keep an accurate account of The Club’s business transactions. The Treasurer shall deposit all monies and other assets in The Club bank account, disburse the funds of The Club, and shall render to the Executive Board an accounting of The Club’s assets when requested. The President shall share in these responsibilities as needed.

Section 7: Meetings

General Meetings shall be held bimonthly with a varying date and time. Location of said meetings will be announced to the general membership.

A. A special meeting of the members may be called at any time upon seven days written notice to the members, at the direction of the President, or the Executive Board, or upon request of 10 percent of the members.

B. A quorum shall consist of those members present at any regular or special meeting.
